**STUDENT ENROLLMENT AGREEMENT**
THESE TERMS ARE IMPORTANT AND AFFECT YOUR LEGAL RIGHTS. PLEASE READ THE TERMS IN THIS STUDENT ENROLLMENT AGREEMENT CAREFULLY BEFORE CHECKING THE BOX "I ACCEPT THE TERMS AND CONDITIONS" AND CLICKING "I ACCEPT." BY CHECKING THE BOX AND CLICKING "I ACCEPT," YOU EXPRESSLY AGREE THAT: (1) YOU ARE ELECTRONICALLY SIGNING THIS AGREEMENT AND THAT THIS ELECTRONIC SIGNATURE HAS THE SAME LEGAL FORCE AND EFFECT AS A HANDWRITTEN SIGNATURE; (2) YOU ARE AND WILL BE BOUND BY THE TERMS AND CONDITIONS SET FORTH IN THIS STUDENT ENROLLMENT AGREEMENT (REFERRED TO HEREIN AS THE "TERMS" OR THE "AGREEMENT"); AND (3) YOU HAVE CONSENTED TO ALL OF THE ABOVE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CHECK THE BOX AND DO NOT CLICK "I ACCEPT." IF YOU CHECK THE BOX AND CLICK "I ACCEPT," YOU AGREE TO THESE TERMS. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE. PLEASE READ THESE TERMS AND THE ARBITRATION PROVISION TO BE AWARE OF YOUR LEGAL RIGHTS.

(https://www.americancontractorsagency.com/) ("Website"). This Agreement is between you, a user of our Services and purchaser of our Courses and services, and American Contractors Agency LLC, a Wyoming corporation (“ACA”).
**SECTION 1 - PRODUCTS/SERVICES OFFERED**

**SECTION 2 - ELIGIBILITY**
To be eligible to apply for a contractor license, you must (a) be at least eighteen (18) years old (although we recommend being at least twenty-three (23) years old); (b) have at least 4 years of verifiable full-time experience within the last 10 years; and (c) have a SSN or ITIN. If you do not meet each of these eligibility criteria, you may not qualify for a contractor license. CSLB may grant up to three years of credit towards the four-year experience requirement for training completed at an accredited school and/or apprenticeship programs in the construction trade for which you may be applying. It is your responsibility to ensure you meet each of the eligibility criteria before purchasing and using our Services. Additionally, if you have a criminal record, CSLB generally requires that three (3) years have passed since a misdemeanor conviction and seven (7) years since a felony conviction, with no further violations of the law. We are not responsible for investigating your background, and it is your responsibility to ensure you meet all CSLB requirements. For all requirements, we recommend checking the CSLB website at [https://www.cslb.ca.gov/](https://www.cslb.ca.gov/). Additionally, to enjoy the benefits of our Services, you must meet certain technological requirements, such as having internet access and a robust smartphone and/or computer. We are not and will not be responsible for technological issues with your equipment or your failure to meet the minimum technological requirements to use our Services, which can be found on our Website.
**SECTION 3 – PURCHASE OPTIONS.**
We offer different options for our Services: an online course (the “Course”). The course is available in various packages, details of which can be found more specifically on the payment page at the time of purchase. If you have any questions about our Courses before agreeing to purchase one or more and accepting these Terms, please contact us at the contact information listed on our Website or at the end of these Terms. Additionally, we also offer add-ons to our Services, including but not limited to onboarding services and additional practice exams (“Add-ons”).
**SECTION 4 – ADDITIONAL SALES TERMS.**
Our Services and the inclusions in a Course are described more specifically on our Website at the time of purchase. The course price is One Thousand Two Hundred Sixty-Five Dollars ($1265) for Services and is in U.S. dollars. We reserve the right to change or modify our Services at any time and will notify you of such changes. We reserve the right to refuse our Services to anyone and for any reason. We also reserve the right to suspend the provision of our Services to you at any time. If we suspend the Services provided to you during your valid enrollment period, you will be refunded the purchase price you paid, prorated based on the time you have used our Services, according to a 6-month schedule. For example, if we suspend the Services to you after two months, you will be entitled to a refund of 2/3 of the purchase price of our Services. You may not access or use our Services without paying for our Services in full.
**SECTION 5 – ACCESS TO MATERIALS, LICENSE, AND LICENSE TERM.**
By paying for and purchasing our Services, you will gain access to your selected Course, which may include physical and/or electronic copies of the Course materials (the “Materials”).
With the purchase of a Course, you are granted a limited, non-exclusive, non-transferable, revocable license to use our Services, including but not limited to all content, creations, videos, and other materials found in or in connection with a Course. You acknowledge and agree that ACA and its affiliates are the sole owners of its Website, Courses, and all content found within or in connection with them. This license shall not be construed as creating any ownership rights in ACA, the Website, or a Course. The license granted to you within a Course does not include the right to sublicense, share with a third party, or any rights to make, have made, develop, produce, reproduce, or exploit our Website or Courses, whether directly or indirectly, commercially or gratuitously, and includes any intellectual property derived therefrom or any of its content, except as specifically set forth in this Agreement.
Any unauthorized use by you of the Website or a Course will automatically terminate this license without prejudice to any other remedies provided by applicable law or these Terms.
The initial term of the license is three (3) months (the “Term”). ACA is committed to providing you with updated Materials during the Term. If you do not complete your selected Course during the Term, subject to ACA’s written approval, your license will terminate and you will not be entitled to any refund.
Upon expiration of the Term, it may be possible to extend the license granted here and obtain full access to your selected Course by contacting ACA and paying an enrollment extension fee of One Hundred Fifty Dollars ($250.00), which, if accepted, will extend the license granted to you for an additional two-month period from the day the extension fee is paid. Upon expiration of the Term, it may be possible to extend the license granted here and obtain further access to your selected Course by contacting ACA and paying fifty percent (50%) of the price of the selected Course that you originally paid. If you purchase an extension, ACA will provide you with access to your selected Course for the duration of the extension.

**SECTION 7 – DISCLAIMER OF WARRANTIES**
Our Services are provided “as is” and we make no warranties that the Services are fit or error-free. By using our Services, you agree that we make no representations or warranties of any kind about the results obtained, that there will be no errors in the Services or the Course Materials, or that the Services will meet your expectations.
**SECTION 8 – LIMITATION OF LIABILITY**
TO THE EXTENT PERMITTED BY LAW, ACA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM OR RELATED TO THE USE OF THE SERVICES OR THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS OR PROPERTY DAMAGE.
**SECTION 9 – GOVERNING LAW AND DISPUTE RESOLUTION**
This Agreement shall be governed by the laws of the State of California without regard to its conflict of laws principles. Any dispute arising from this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA) in Los Angeles County, California. You agree that any dispute or claim related to this Agreement must be resolved in the courts of the State of California and waive any objections to jurisdiction.
**SECTION 10 – GENERAL PROVISIONS**
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, whether written or oral, related to such subject matter. No amendment or modification to this Agreement will be binding unless made in writing and signed by both parties. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
